Voting rights

Corporate & Other Laws

answered on 14-Aug-23 11:01

Normally dividends are declared when company earns profit. As per sec 47 of companies act preference share holders are entitled to vote if the co default to pay dividends for 2yrs or more My question here is if co. Is not able to pay dividend for 2 or 3 yrs given the reason that It made losses, will the preference share holders still get right to vote in subsequent resolutions?

latest answer

Cumulative preference shares are a common type of preference share, where shareholders are entitled to receive dividends for a year where dividends could not be paid as the company had inadequate profits. So losses or profits, if company doesnt pay dividend for 2 years then preference share holders are entitiled to vote on all the resolutions placed before the company. And it is "for a period of 2 years or more", so it is consecutive

Rowan Plan ( Illus. 11)

Costing

answered on 14-Aug-23 11:27

If I take different illustrative values: Time allowed. 4 hours Time taken. 2 hours Time saved. 2 hours Rate. ₹5/- Bonus will be Rs.5/- how the statement " the entire gains of improved production should not go to the workers" is true here as the entire ₹5/- is provided to the workers.

latest answer

If amount was paid totally w.r.t time saved then Rs.10(time saved x rate) total benefit would have gone to labour But under Rowan they are paying in proportion of time taken against time allowed hence only Rs.5 (2/4*2*5) is given as bonus
