Section 211 will apply in both the above situations whether the principal informs the customer or not. Agent will be liable to the principal for not obeying the instructions in both situation. However section 237 will not apply if principal has informed the customer Please note that Section 237 defines the relationship between the principal and the third party. Whereas section 211 defines relationship between agent and principal.
