In one topic explaing about " Manner and procedure of selection and appointment of auditors" i.e Rule 3 if CAAR, 2014 under the topic Provision related to audit committee (section 177) 6th Point in 4.2 (Pg no 10.24 in latest edition) If the Audit Committee, after considering the reasons given by the Board, decides not to reconsider its original recommendation, the Board shall record reasons for its disagreement with the committee and send its own recommendation for consideration of the members in the annual general meeting; and if the Board agrees with the recommendations of the Audit Committee, it shall place the matter for consideration by members in the annual general meeting. My doubt here is, After considering the recommendations from the audit committee, if BOD disagrees second time also, it will record the reason for its disagreement with the recommendation and send IT'S OWN RECOMMENDATIONS (BOD recommendation) to the members for appointment ( this is my understanding, correct me if I am wrong) . If BOD do so, what is the need of considering recommendations of audit committee ? as it'll not be a strong suggestion to appointment at last BOD only will decide who shall be appointed.

Audit committee has the role of oversight on audits. If BOD disagrees, they need to mention reason and then recommend to members. So the members would be aware about the disagreement and can take a decision whether to appoint or not.

Section 144 of the Companies Act, 2013 prescribes certain services not to be rendered by the auditor. An auditor appointed under this Act shall provide to the company only such other services as are approved by the Board of Directors or the audit committee, as the case may be, but which shall not include any of the following services (whether such services are rendered directly or indirectly to the company or its holding company or subsidiary company) My doubt is if an auditor renders any of the services specified in the section 144 to the Associate company or Subsidiary of holding company of the company in which auditor is going to be appointed, will it leads to disqualification under this section?
