Here is the question for the day. Request you to write it on a sheet as you would write in the exam and share photo. Mr. Sohanlal sold 10 acres of his agricultural land to Mr. Mohanlal on 25th September 2020 for â?¹25 Lakhs. The Property papers mentioned a condition, amongst other details, that whosoever purchases the land is free to use 9 acres as per his choice but the remaining 1 acre has to be allowed to be used by Mr. Chotelal, son of the seller for carrying out farming or other activity of his choice. On 12th October, 2020, Mr. Sohanlal died leaving behind his son and life. On 15th October, 2020 purchaser started construction of an auditorium on the whole 10 acres of land and denied any land to the son. Now Mr. Chotelal wants to file a case against the purchaser and get a suitable redressed. Discuss the above in light of provisions of Indian Contract Act, 1872 and decide upon Mr. Chotelal's plan of action? (4 marks, May 19)

If nothing clearly specified about the method of calculation of Purchase consideration, what is the simple way to identify whether it is net asset method or not?

It is stated under law that , a public company having members less than 1000 shall contain atleast 5 members personally in its general meeting. Law is silent with regard to presence of BOD of Company acting in capacity as a shareholder. That means ; If a public company having its members less than 1000 has 5 board of directors in it . And on the meeting date , only this 5 directors are present ( who are also the shareholders and members of company and acting in capacity of shareholder ) , can they can be considered as Quorum and Meeting can be Conducted. ( It would indirectly lead to Board meeting in the veil of General meeting ) ! Isn't it a loop hole in law !!!

How goods purchased by the buyer based on brand or patent will come under exception.

It is not an exception to the doctrine, in a situation where goods are purchased under brand name or patent name there is no implied condition as to fitness and the seller cannot be held responsible. This is actually a proviso to Section 16(1) in the Act, which has been incorrectly included as an exception in the study material. However, the material also states that there is no implied condition as to fitness in this situation.
