Remedy to dissenting share holders.
Corporate & Other Laws
answered on 27-Aug-22 16:19
Here mam said first 10% of total share capital. In example it is said that 10% of dessented shareholders. Which is correct? It may be possible even 3 people may hold 10% of share capital. Suppose after special resolution the remaining 25% people may be 250 out of 1000 share holders voting. Then 10% of 250 is 25 where appeal is possible. Even 3 people with 10% total capital is also possible but they are contradictory to each other.
latest answer
yes. 10% or more of the ISSUED SHARES OF THAT CLASS OF SHARES. Please note: these shareholders who are appealing to NCLT... they are the one who are dissenting to the variation of rights. Anyone who agrees to variation of rights will not participate in such an appeal.

Conveyance Allowance vs Transport Allowance
Direct Taxation
answered on 25-Aug-22 20:29
Conveyance allowance (If it's From office to residence) can be called as Transport allowance ? Because in the Salaries - Illustrations - Module 13 - Example 14, 15 and 16 ; often the words Conveyance and Transport allowance are used alternatively. Can it be done ? As we know, Conveyance allowance is exempt u/s 10(14) , but it's shown as taxable allowance in Example 15 in the lectures. Kindly clarify.

As per Accounting standard valuation of inventories Raw materials-(at cost should be value, if the finished goods are above the sold ) Finished good below sold means replacement cost For working progress and finished goods should be valued at lower of cost and net realiseble value This is correct or not please tell me
latest answer
But little bit clarity, If FG sold less than cost- that's when -raw materials should be valued at replacement cost.i.e. till the time selling price=cost,it's ok. Otherwise-replacement cost
