Does unlisted company include private company also or only unlisted public company?

The unlisted company refers to those companies that aren't listed on any stock exchange, so they are privately owned. Since they are unlisted, they do not have the privilege to procure funds. They are becoming capital investors. So it includes private and public company also....

Meaning of pro rata allotment in issue of shares and how it works

First time asking questions here, so please ignore any mistakes. Can someone please explain how pro rata allotment works for company and aslo the individual who has applied for excessive shares?

Pro rata allotment is used when there is oversubscription of shares. Eg. If company issues 100,000 shares and 200,000 shares are subscribed by the public it is known as oversubscription. The company may apply pro rata allotment in the ratio of 2:1 ie. For every 2 shares, 1 share is issued to the person. So basically person who has applied for 10 shares, he will receive 5 shares. I hope this helps

Can someone explain the provisions pertaining to reappointment of retiring auditor and appointing auditor other than retiring auditor?

A retiring auditor may be reappointed if 1. he is not disqualified 2.he has not given notice stating his unwilling ness for not to be reappointed and 3. no special resolution is passed for not reappointing the retiring auditor where no auditor is appointed at any AGM , the existing auditor is continues to be auditor of the company
