Our ICAI CA Foundation module states that in case of forgery by any of employee or director of company and Contract thereby entered with third party , Doctrine of Indoor Management is not applicable. But , Module is silent regarding liability of which party remains operative in case of Forgery ! So, my queries are as follows :- I.) Is 3rd party in good faith while Forgery entitled to claim any damages from employee of company committing such fraud , personally? II.) Then , In case of Forgery, who is liable? A.) Company. Or B.) 3rd Party. Or C.) Personnel committing fraud. Plz resolve this quickly. ð???
