In this solution sir said that NDP @FC already has profit component and hence we have to remove from it the one which is not distributed( as it is earned but not received) then, why do we add dividend received? Is it because it is received in the current year but earned in the previous year or is there any other reason?

"Proxy received 48 hours before the meeting will be valid even if the articles provide for a longer period" means??

In case of Public company if articles of the company prescribe time more than 48 hours to receive the proxy form i.e MGT 11 then it should be read as 48 hours. However the private companies and IFSC companies can override this provision. Mean if Articles of the private company and the IFSC company prescribe time more than 48 hours to submit MGT 11 then it is valid . But in case of public company the MGT 11 form must be submitted within 48 hours from the date of the meeting

Ceding means to give / surrender. Pari-passu means equal fotting. Say SBI and HDFC has given working capital loan to PQR Ltd. & has equal charge on stock & other current assets. Now, PQR Ltd. approaches PNB for another working capital loan. PNB wants first charge on stock & other current assets & doesn't want to share it with SBI and HDFC. If SBI and HDFC cede it, it will be modification
