Where a person making an offer to which this section relates is a company or a firm, it shall be sufficient if the document referred to in sub-section (1) is signed on behalf of the company or firm by two directors of the company or by not less than one-half of the partners in the firm, as the case may be. This means that the Directors/Partners of the Intermediary through which the Offer is made, has to sign the Deemed Prospectus right?

Section 40 states that before any Public Offer of securities, a Company should apply to a RSE or RSEs and obtain permission from such RSE or RSEs Does this mean that all such applications made should be accepted, or that just any one needs to be accepted?

For appointing a person for that branch; CA.X decides to appoint CA.Y who is an active person visiting Chennai office for 200 days. Can he be appointed as the head for a branch that is going to be Opened in Bangalore?
