Deemed Prospectus - Signing
Corporate & Other Laws
answered on 18-Oct-24 22:23
Where a person making an offer to which this section relates is a company or a firm, it shall be sufficient if the document referred to in sub-section (1) is signed on behalf of the company or firm by two directors of the company or by not less than one-half of the partners in the firm, as the case may be. This means that the Directors/Partners of the Intermediary through which the Offer is made, has to sign the Deemed Prospectus right?
latest answer
Yes, the directors or partners of the intermediary firm through which the offer is made are required to sign the Deemed Prospectus. According to Section 26 of the Companies Act, 2013, if the offer is made by a company or firm, the prospectus can be signed by at least two directors in case of a company, or by at least half of the partners if it’s a firm. This aligns with your interpretation of the requirement that the directors or partners of the intermediary need to sign the Deemed Prospectus.
