There are 15 modules in Set A and 13 modules in Set B of SPOM. Should we complete all the modules to finish the mandatory hours? Is there a way to track 40 hrs completion?

Sweat Equity Limits for a Startup

1 - The company shall not issue sweat equity shares for more than fifteen percent of the existing paid up equity share capital in a year or shares of the issue value of rupees five crores, whichever is higher: 2 - Provided that the issuance of sweat equity shares in the Company shall not exceed twenty five percent, of the paid up equity capital of the Company at any time. 3 - Further provided that a startup company may issue sweat equity shares not exceeding fifty percent of its paid up capital upto ten years from the date of its incorporation or registration. Does Condition 1 (5 crore or 15%/year) apply in case of a startup? Further, 'year' here is considered to be FY right?

The approval of shareholders by way of separate resolution shall be obtained by the company in case of- (a) grant of option to employees of subsidiary or holding company; or (b) grant of option to identified employees, during any one year, equal to or exceeding one percent of the issued capital (excluding outstanding warrants and conversions) of the company at the time of grant of option. If A Ltd wanted to pass a Special Resolution to give ESOPs to: a) employees of the company itself, holding company, and subsidiary b) employees of company, holding company, subsidiary, and to an identified employee How many resolutions should be passed in above cases?

As per Companies Act, Rights Issue is deemed to be declined if it is not accepted within a period not exceeding 30 days, and not less than 7 days, from Date of Offer Further, Notice of the Offer shall be made at least 3 days before opening of Issue Here, what exactly is the Date of Offer? Is it date of opening of issue, date of dispatch of notice, or something else?

Sir in this sum, on 31.03.2018 annualised yield is mentioned as 73.52%. Does this 73.52% is the annualised yield for the period of 01.04.2017 to 31.03.2018 or it means from the date of purchase i.e. from 01.07.2015 to 31.03.2018?

Rules cover procedural aspect related to Act. The power to make rules is given in the section of the Act to an authority like central government. Eg: Companies (Share capital & debenture) Rules, 2014 Regulations are much wider in context as compared to rules. They cover Law and procedural aspect in a certain regard. Eg: SEBI Regulations.

Should we write case laws also when we are presenting our answers?Is it mandatory?or is it okay if we write only the interpretations from the case laws

Usually for General Clause Act and interpretation of statutes chapter, writing case law name can get you half or one extra mark. But only if it is accurate. Try to focus on the judgement given in case and write that accurately. Give case law names only when you are 100% sure.
