In 6th question) After all the adjustment, the average profit is 17,500. Here NRR is not given, then how can we arrive at goodwill by super profit basis. And the answer is option ( b ) - 8,750.

Net Payment Method - the aggregate of all payments made in the form of shares, debentures, other securities and cash to the shareholders of the transferor company is taken as consideration Net Assets / Net Worth Method - is used when all the modes of discharging the purchase consideration (e.g. Pref. Shares, Equity shares or cash payable to shareholders of transferor company) are not given and hence where Net Payment Method cannot be adopted. Under this Method, purchase consideration is ascertained by aggregating the agreed values of only those assets which have been taken over by the transferee company and deducting it from the agreed value of liabilities taken over.

W.K.T,...... As per 1st and 2nd proviso to sec 50C, If date of agreement of transfer and actual date of transfer is different, Full value of consideration=Stamp duty value as on date of agreement provided part of consideration is paid as advance..... My doubt is, what will be full value of consideration if Sale consideration agreed is greater than Stamp duty value? Please clear my doubt.. thanks

Thank you for the correction Himanshu Somani. If stamp duty value is greater than 110 percent of the consideration received, deemed consideration is the stamp duty value.

If company have 250 equity members, In general meeting only presented in 60 members, at the time 75% members agreed a resolution Above resolution is valid special resolution Or 75% calculating on total members (250)

That means if person authorising issue of prospectus that contains mis-statement actually believed that misstatement was true based on facts, documents and circumstances, he might be exempted from criminal liability if he proves that. Say, company misstated losses as profits in prospectus. In that case, we can't say director had reasonable ground to believe that they company was earning profits as he would have access to company records, financials etc.
