An authorised representative can be a member for quorum requirements but a proxy cannot be a member for the same, what exactly is the difference between the two. Both are acted on behalf of someone else, how to figure out whether it suits the quorum requirements or not?...

Authorised representatives are allowed only to members who are either body corporates, president of our country or governors of the states (sec 112, 113,) Other members can appoint proxies only & not authorised representatives. Authorised representatives have all the rights of a member. But proxy enjoys only right to attend meeting, vote by poll & demand a poll.
