Can someone explain me about the condition relating to the limitations for issuing securities... I'm confusing little bit with the numbers 50 & 200 in a financial year... Pls give simple example for understanding purpose.

Divya KAll good but why that 50 is in the provision, as per my understanding at a time issue cannot exceed 50 and aggregate in a year cannot exceed 200 of each class of issue.. If wrong Correct me,
Section 42 clearly states "whose number shall not exceed fifty or such higher number as may be prescribed" leaving a scope of higher number can be given, but it cannot be less than 50 And in amendment to Rule 14 a higher number of 200 was prescribed.
200 is the maximum limit for private placement in a financial year Section 42(2) states " A private placement shall be made to â??identified personsâ??, whose number shall not 50 or such higher number as may be prescribed , in a financial year subject to such conditions as may be prescribed. As may be prescribed is referring to the rules - Rule 14(2) of the The Companies (Prospectus and Allotment of Securities) Rules, 2014 which prescribes the limit " an offer or invitation to subscribe securities under private placement shall not be made to persons more than two hundred in the aggregate in a financial year" Exclusions from that number are qualified institutional buyers and employees with ESOPS u/s 62(1)(b) So the applicable maximum limit of persons to whom the private placement can be offered by a company is 200

Example April 2022 company made a private placement offer to 80 persons June ESOPs were offered to 140 people Total = 220 but employees are excluded from the maximum limit of 200 so the private placement counted u/s 42 is only 80, the company can still make a private placement of 120 during the FY of 2022-23
