Does issue of bonus shares require alteration of Memorandum of Association.

Articles of Association should permit the issue of bonus shares, if not then the AOA needs to be altered. If the Authorised Capital is not sufficient for the Issue of Bonus Shares, then the Memorandum of Association has to be altered to increase the Authorised Capital. If Authorised Capital is sufficient, then no need to alter MOA.
