1) pls explain para 4 2) if allotee have paid full consideration & if shares are sold after 6months without prospectus, thts also wrong thing to do, then why is it not a deemed prospectus ? (allotee subscribed it in pvt placement)

Deemed prospectus Securities are offer to issue house Issue house offered to public Then no prospectus required But even if issue house offered to public is called as deemed prospectus provided 2 conditions are fulfilled 1. Issue house offers to public with 6months from date in which they purchase securities from company 2. If first condition not satisfied At the time of offer to public by issue house the total consideration is not received by company The issue is made by co the document is called deemed prospectus all conditions of prospectus should apply
